Abstract

Досліджено проблеми застосування законодавства у розгляді спорів, що виникають із корпоративних відносин, а також чинники, які сприяють виникненню таких спорів. Подано поняття корпоративних відносин і спорів, визначено їхні особливості. Наведено класифікацію корпоративних спорів. Проаналізовано норми чинного законодавства, які регулюють корпоративні відносини, а також досліджено ступінь вивчення корпоративних відносин і спорів, які з них виникають, у працях науковців. Запропоновано шляхи удосконалення правового регулювання вирішення корпоративних спорів. In the article the problem of applying the legislation in disputes arising out of corporate relations and the factors that contribute to the emergence of such disputes. Also, this paper analyzes the current legislation governing corporate relations, the study investigated the degree of corporate relations and disputes that arise from them in the writings of scholars. An important issue that disclosed in this article are the ways of improving the legal regulation of corporate disputes. The actual is a problem that exists in corporate relations, as a growing number of corporate conflicts that harm not only the participants but also the investment image of the country. This is particularly due to the fact that the legislation contains many gaps and conflicts in the regulation of corporate relations, which allows formal legal means to exercise corporate capture by abuse of law. Ukrainian legislation does not provide a balanced account of the interests of participants of corporate relations, leading to corporate disputes. To address this problem, improve the legal regulation of relations by finding best practices for the prevention and resolution of corporate disputes and the need for prevention and resolution of disputes arising out of corporate relations are changes in the legislation for the effective regulation of these relations.
