Новації законодавства щодо захисту від рейдерів

Abstract

Проаналізовано законодавство щодо проведення реєстраційних дій, новації якого забезпечують захист речових прав на нерухоме майно суб’єктів господарювання від рейдерства на стадії державної реєстрації. Вказані посягання вчиняють рейдери з метою заволодіння майном шляхом сумнівного набуття права розпоряджатися активами та корпоративними правами, використовуючи прогалини у законодавстві. Охарактеризовано позитивні та негативні аспекти внесених змін до реєстраційного законодавства. Запропоновано відповідні зміни у законодавстві для запобігання рейдерству в Україні. Raiders commit encroachments on entities for obtaining property and corporate rights. They change the ways of capture of companies every day. Entities are vulnerable of raid in Ukraine. Legislation contains gaps, which raiders used to make capture. Raiders commit a large number of attacks in Ukraine in the implementation of registration actions. Legislation on registration was not perfect and therefore can not protect entities from raider attacks. Lawmakers must accept the changes, by which entities would be able to protect their business from attacks. The Ministry of Justice of Ukraine called roundtables repeatedly to install and isolation of the legislation, that require amendments and additions. Lawmakers adopted the law (the Law of Ukraine «On аmendments to сertain legislative acts of Ukraine on improving state registration of rights to real estate and protection of property rights» № 1666-VIII, 6 October, 2016) to protect entities against attacks on their property and corporate rights. The law should protect the economic interests of citizens and investors and their rights on property. The authors pointed out and explained in the article innovations of legislation, which protect property and corporate rights from raiders at the registration. The negative and positive aspects of the law are described in the article. Scientists – lawyers and practical workers discussed the changes that were made in the law. The authors of article analyzed the points of views of scientists – lawyers and practical workers on amendments to the legislation on the registration of real estate and corporate rights. Law is a positive act, but imperfect. Gaps need to be addressed in the law to prevent their use by raiders. The authors of article have proposed to amend the legislation on the registration of real estate and corporate rights. The proposed changes to the legislation will protect entities from raider attacks on property and corporate rights during the registration.
