Поглинання та рейдерство в ринковій економіці: навчальний посібник

Abstract

Висвітлено теоретичні та прикладні засади поглинання, злиття, реорганізації, реструктуризації, викупу і рейдерства суб’єктів господарювання. Розглянуто особливості пошуку об’єктів для злиття та поглинання, фінансування та рефінансування в процесі поглинання і злиття суб’єктів господарювання, специфіку реалізації стратегій суб’єктів господарювання. Досліджено методи та способи перерозподілу власності в процесі рейдерських атак, акцентовано увагу на корпоративному шантажі та використанні інсайдерської інформації. Для здобувачів вищої освіти, викладачів, науковців та всіх, хто цікавиться питаннями поглинання, злиття і рейдерства в ринковій економіці, організації та управління системою економічної безпеки підприємства. Theoretical and applied principles of acquisition, merger, reorganization, restructuring, redemption and raiding of business entities are studied. Seven topics are presented, which consider the features, the search of the objects for mergers and acquisitions, financing and refinancing in the process of acquisitions and mergers of economic entities, the implementation of strategies of economic entities. The methods and ways of redistribution of property in the process of raider attacks are investigated, the emphasis is on corporate blackmail and the use of insider information. Ways to recognize the beginning of raider attacks and counter raiding are suggested. Each topic is provided with appropriate training, which includes: control questions; topics of abstracts; tests. It is supplemented with a glossary and a list of recommended literature. For applicants for higher education and teachers, graduate students, researchers and anyone interested in the issues of acquisition, merger and raiding in a market economy, organization and management of the economic security of the enterprise.
