Щодо заходів захисту суб’єктів господарювання від рейдерів

Abstract

Проаналізовано визначення поняття «рейдерство» з метою з’ясування ознак вказаного явища. Встановлено заходи захисту суб’єктів господарюван- ня, які необхідно використовувати під час «рейдерських» атак. Визначено органи, які здійснюють захист суб’єктів господарювання від «рейдерів». Зазначено, що держава повинна надавати гарантії та захищати суб’єктів господарювання від посягань шляхом визначення поняття «рейдерство» у законодавстві та посилення відповідальності за дії, пов’язані зі спробою «рейдерського» захоплення. Виокремлено превентивні заходи, спрямовані на протидію посяганням на майно суб’єктів господарювання. The article deals with the definition of the concept of «raider attack» in order to establish the features of this phenomenon. The measures of protection of economic entities that apply in «raider» attacks are determined. The bodies carrying out protection of economic entities against «raiders» are specified. It is pointed out that the state should facilitate the development of enterprises, provide guarantees and protection against attacks. The preventive measures aimed at counteraction to encroachments on property of economic entities are outlined. «Raider attack» includes the following features: – encroachments / acquisition of property; – a person and/or a group of persons carry it out; – it is carried out without the consent of the owner, with the help of corrupt authorities, law enforcement and judicial bodies. Important measures of counteraction to «raider attack» in Ukraine are: – at the legislative level, to determine limits of acceptable self-defense by representatives of economic entities against «raider» seizure; – to adopt «The Code of encroachment on property of economic entities»; – to increase the responsibility for committing corrupt acts by representatives of public authorities, law enforcement and judicial authorities; – to define the concept of «raider attack» in the legislation and to strengthen the responsibility for any action associated with an attempt of «raider» seizure; – perfect selection of personnel to work in the management of the enterprise; – to provide reliable protection of enterprises by experienced professionals that are reliable, screened and incorruptible persons; – constant monitoring of all attempts to obtain information by third-party persons on the enterprise from external sources, namely the disclosure of confidential information and commercial secrets. Preventive measures of protection are more effective than measures that are directly taken during the «raider» attack, because if the economic entity has all confirmed documents concerning the implementation of its activities and is ready to be attacked, such an attack may not occur.
