Аналіз можливостей застосування в Україні елементів англо-американської моделі корпоративного управління

Abstract

З’ясовано переваги англо-американської моделі корпоративного управління. Визначено напрями необхідності зміни української моделі корпоративного управління. Обґрунтовано чинники, що обумовлюють напрями розвитку корпоративного управління в Україні, а саме: удосконалення внутрішньокорпоративної системи управління в кризових умовах; формалізація та затвердження стосунків між власниками статутного капіталу, менеджерами підприємства та місцевою владою; запровадження фінансового, акціонерного та корпоративного контролю; недосконалість банківської системи та неспроможність банків бути вагомими акціонерами й здійснювати контроль за корпоративною діяльністю; залучення інвесторів; залучення корпоративного венчурного капіталу; удосконалення законодавчої бази щодо управління акціонерним товариством, фондовим ринком та вирішенню конфліктів; застаріле управління та слабке впровадження сучасного зарубіжного досвіду менеджменту; низький рівень доходів, менеджерів і акціонерів. In the article is dedicated to the benefits of the Anglo-American model of corporate governance introduction in Ukraine. The issues that remain unresolved for any model of corporate governance are identified, namely: the presence of contradictions between short- and long-term interests, executive and non-executive directors, different groups of investors, including foreign and state; imperfection of the rights and interests of small investors etc. Negative aspects of joint stock companies are determined: set speculation in stocks, financial abuse and partial irresponsibility. Special attention is paid to the grounding of factors determining the directions of development of corporate governance in Ukraine: the improvement of internal corporate management in crisis situations; formalization and approval by the relationship between the owners of the share capital, managers of enterprises and local authorities; the introduction of financial, equity and corporate control; imperfection banking system and banks’ failure to perform significant shareholders and control the corporate activities; attracting investors; attracting corporate venture capital; improvement of the legal framework for the management of jointstock market and conflict resolution, outdated management and weak implementation of modern international experience management; low income of managers and shareholders. US corporate venture capital today can be a source of strengthening the innovation system of Ukraine, including the development of entrepreneurial talent as an important tool to overcome the entry barriers to the industry of high-tech businesses. Corporate business venture is an effective area of financing innovation and accelerating scientific and technological progress. It is indicated that conceptual corporate governance problems occur in the absence of clearly articulated strategy of the state with respect to development of the corporate sector, real state support of activities clearly defined common and transparent «rules» for all participants of corporate relations. The article also describes the advantages and disadvantages of the corporate sector in Ukrainian crisis. The main focus is on the substantiation of directions of further development corporations.
